These Web Hosting Terms of Service ("Hosting Terms") govern your purchase and use of any web hosting services provided by Darrel Technologies Ltd ("DT", "we", "us", "our"), including shared hosting, reseller hosting, VPS, dedicated servers, add-on services, and related support (collectively, the "Services").
By ordering, accessing, or using the Services, you ("Customer", "you", "your") agree to these Hosting Terms, our Terms of Use, Privacy Policy, and any applicable service-specific terms presented during checkout or in the Client Area (together, the "Agreement").
If you do not agree to these Hosting Terms, you must not use the Services. DT may update these Hosting Terms from time to time by posting a revised version on our website. Continued use of the Services after a change becomes effective means you accept the updated terms.
You must provide accurate, complete, and current account information, including a valid email address that is monitored and not solely dependent on a domain hosted under the Services. You are responsible for keeping your contact and billing details up to date in the Client Area.
DT may request identity and/or payment verification for fraud prevention, high-risk transactions, or compliance purposes. If you provide false information or fail verification checks, we may decline, suspend, or terminate the Services.
You may only use the Services for lawful purposes. You may not use the Services to host, transmit, distribute, or make available content or activities that are illegal, infringe intellectual property rights, or cause harm to others.
Prohibited activities include (without limitation):
DT reserves the right to determine, in its reasonable discretion, whether content or use violates this Agreement or poses risk to users, third parties, DT, or the stability/security of our infrastructure.
You are responsible for maintaining the confidentiality of your passwords, API keys, and account access. You must use strong passwords and keep your applications, scripts, plugins, and CMS installations updated. You are responsible for all activities performed under your account, including those resulting from compromised credentials.
If DT detects suspicious activity or believes an account is compromised, we may temporarily restrict access, reset credentials, or suspend the affected service to protect the environment and investigate.
DT operates an abuse desk to investigate reports of suspected phishing, impersonation, malware, spam, copyright infringement, and other prohibited activity. Reports may be submitted to abuse@dtechghana.com.
If DT identifies or reasonably suspects prohibited activity, we may take immediate action, including (without limitation): (a) disabling access to content; (b) temporarily suspending the service; (c) preserving evidence and logs; (d) requiring remediation steps; or (e) terminating the service.
Response requirement: You must respond to abuse inquiries within 48 hours (or sooner where the matter is urgent). Failure to respond, or failure to adequately address the issue, may result in continued suspension or termination.
DT may suspend or terminate immediately for high-risk abuse (e.g., phishing, credential harvesting, malware distribution, or child exploitation material), to prevent harm and protect users and infrastructure.
Services are billed in advance on a recurring basis (monthly, annually, or as selected). You authorize DT to invoice and/or charge the payment method on file for recurring fees and any applicable taxes.
DT provides a 5-day grace period from invoice due date. If payment is not received within the grace period, the associated service may be suspended. DT may apply late fees and/or administrative fees where applicable and permitted by law.
If an account remains suspended for non-payment, DT may terminate and delete the service and related data after a reasonable period, in line with our internal retention practices.
Cancellation requests must be submitted via the Client Area (or other method approved by DT in writing). Cancellation does not automatically entitle you to a refund unless a refund is expressly stated for the specific plan.
Where DT offers a money-back guarantee for a plan, it applies only to first-time customers and only to the hosting service fees (excluding domains, setup fees, third-party licenses, custom work, administrative fees, and payment processing charges). Abuse or policy violations void any refund eligibility.
Certain payment methods may be non-refundable and may be returned as account credit where applicable.
Shared and reseller plans operate under resource and fair-use limits to protect platform stability. Excessive CPU, memory, disk I/O, database load, background processes, or inode consumption may result in throttling, warnings, suspension, or a request to upgrade.
DT may impose limits or restrictions to maintain service quality for all customers, including limiting abusive scripts, overly frequent cron jobs, and resource-intensive tasks on shared environments.
You are solely responsible for maintaining current backups of your data. DT may provide backups on certain plans as a courtesy, but backups are not guaranteed and may be limited in frequency, retention, size, or restoration scope.
DT is not liable for data loss, corruption, deletion, or restoration failures. You must maintain your own backup strategy, especially for VPS and dedicated servers.
DT aims to provide reliable service but does not guarantee uninterrupted availability. Planned maintenance, upgrades, emergency security actions, third-party outages, force majeure events, or issues outside DT's reasonable control may result in downtime.
Any uptime credits or guarantees, if offered, will be described in the specific plan details and are subject to exclusions and verification.
Some Services may integrate with third-party software, registries, payment processors, or providers. DT is not responsible for third-party services, outages, policies, or content. Your use of third-party services may be subject to their own terms.
To the maximum extent permitted by law, the Services are provided on an "as is" and "as available" basis. DT disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
To the maximum extent permitted by law, DT will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, business, goodwill, or anticipated savings, arising out of or related to the Services or this Agreement.
DT's total liability for any claim arising out of or relating to the Services will not exceed the amounts paid by you to DT for the affected Service during the three (3) months immediately preceding the event giving rise to the claim.
You agree to defend, indemnify, and hold harmless DT, its directors, officers, employees, agents, affiliates, and partners from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or related to: (a) your use of the Services; (b) your content; (c) your violation of this Agreement; or (d) your violation of any applicable law or third-party rights.
This Agreement is governed by the laws of the Republic of Ghana, without regard to conflict of laws principles. You agree that the courts of competent jurisdiction in Accra, Ghana shall have exclusive jurisdiction over disputes arising out of or relating to the Services or this Agreement, except where DT elects to seek urgent injunctive or equitable relief.
DT may disclose subscriber information, logs, and account details to regulators, registries, or law enforcement where required by law or where reasonably necessary to investigate abuse or protect users and infrastructure.
DT may contact you via the email address on file, Client Area notices, or other reasonable channels. You are responsible for monitoring communications and ensuring your contact details remain current.
DT may assign or transfer its rights and obligations under this Agreement as part of a merger, acquisition, restructuring, or sale of assets. You may not assign your rights or obligations without DT's prior written consent.
If any provision of this Agreement is held unenforceable, the remaining provisions remain in full force and effect. DT's failure to enforce any right or provision is not a waiver of that right or provision.
These Hosting Terms, together with the other documents incorporated by reference, constitute the entire agreement between you and DT regarding the Services and supersede all prior agreements relating to the Services.
